By using LocalGaps services, you agree to:

• • Provide accurate and complete business information
• • Maintain authorization to grant us access to your business accounts and listings
• • Use services only for lawful, legitimate business purposes
• • Not engage in any conduct that violates platform terms of service (Google, Facebook, etc.)
• • Comply with all applicable laws, regulations, and industry standards
• • Not attempt unauthorized access or manipulate search results

All content, systems, methodologies, and materials developed by LocalGaps are proprietary and protected by copyright and trademark laws. This includes:

• • Our proprietary local SEO framework and methodology
• • Audit tools, reporting systems, and analytics platform
• • Strategic recommendations and analysis

You receive a limited license to use our services for your business only. You may not reproduce, distribute, or create derivative works without written permission.

All fees are outlined in your service agreement. Payment terms include:

• • Invoicing: Invoices are issued according to your service agreement (monthly, quarterly, or annually)
• • Payment Due: Net 30 days from invoice date unless otherwise specified
• • Late Fees: Late payments may incur interest at 1.5% per month
• • Accepted Methods: Credit cards, ACH transfers, and bank transfers

Prices may be adjusted with 30 days' written notice. Refunds are subject to our refund policy and cancellation terms.

We protect your business data with industry-standard security measures. By using our services, you acknowledge:

• • We may access and manage your business accounts (with authorization)
• • Data is used to deliver and improve our services
• • We implement SSL encryption, secure backups, and access controls
• • Your privacy is governed by our Privacy Policy

While we employ proven strategies, search engine results depend on numerous factors beyond our control:

• • We do not guarantee specific ranking positions or traffic levels
• • Google and platform algorithms change constantly
• • Competitive market conditions may impact results
• • Implementation of recommendations by client is required

We commit to providing strategic recommendations based on industry best practices and your specific business needs.

To the maximum extent permitted by law, LocalGaps shall not be liable for:

• • Indirect, incidental, or consequential damages
• • Loss of profits, revenue, data, or business opportunities
• • Service interruptions or unavailability
• • Account suspension by third-party platforms (Google, etc.)

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Either party may terminate the service agreement under these conditions:

• • For Breach: Immediately, if terms are materially violated
• • For Convenience: With notice as specified in your service agreement
• • Non-Payment: We may suspend services for non-payment

Upon termination, access to services ceases, and you must cease using our systems.

You agree to indemnify and hold harmless LocalGaps from claims arising from:

• • Unauthorized or illegal use of our services
• • Violations of third-party terms (Google, platform policies)
• • Content or business information you provide
• • Intellectual property infringement claims

LocalGaps reserves the right to modify these terms with 30 days' notice. Your continued use constitutes acceptance. These terms are governed by applicable U.S. state laws without regard to conflicts of law principles.
